Non-Disclosure and Release - Terms and Conditions

Effective Date: 2/18/25

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before attending the event on March 29, 2025 (the “Event”), hosted by The Bucket List Family, LLC and The Bucket List Studios Inc (collectively the “Host”).    

By purchasing a ticket and attending the Event, you agree to be bound by these Terms.  If you disagree with any part of the Terms, then we kindly ask that you do not attend the Event. We reserve the right to update these Terms as deemed necessary by the Host. 

Confidentiality Information and Non-Disclosure 

  1. You hereby acknowledge that the privacy of Host owners and agents (each, an "Associate"), and any non-public information regarding Host and the Event, is highly valued and that all efforts are made to maintain confidentiality with respect to Confidential Information (as defined below). You acknowledge that you may have access to Confidential Information in connection with the Event. You agree that you  shall not, at any time, disclose or communicate to any third party (i) any non-public information and/or materials concerning the business, professional and/or personal of any Associate, nor (ii) any non-public information and/or materials concerning Host and/or the Event. All such information and materials are herein collectively referred to as “Confidential Information”, and the definition thereof is to be liberally construed in favor of Host. 

  2. Without limiting the generality of the Confidential Information, you agree that you shall not (i) provide, directly or indirectly, any information concerning the Event and/or an Associate to any reporter, writer, investigator or the like, (ii) contribute to any article or other form of report publication, concerning Artist, the Event and/or an Associate, nor (iii) take or disseminate to anyone any photographs or videos of or from the Event. 

  3. This Agreement shall terminate three (3) years from the Effective Date unless terminated earlier by Host; however, obligations with respect to Confidential Information disclosed prior to termination shall not be affected by such termination and shall survive as to any trade secrets, for as long as such information remains a trade secret. 

Remedies

You  acknowledge and agree that the unauthorized use or disclosure of Confidential Information and/or any breach or threatened breach of this Agreement shall cause irreparable harm and significant injury to the Host  for which money damages are inadequate and/or difficult to ascertain. Accordingly, you agree that in the event of a breach or threatened breach the Host shall have the right to obtain an immediate injunction enjoining such breach and/or any other appropriate equitable remedy without being required to post a bond or other security and without being required to show proof of actual damages. The remedies in this section shall not be deemed exclusive, but shall be in addition to all other remedies available at law or in equity, including, but not limited to, monetary damages.

Grant of Rights 

You hereby  acknowledge  that  the  Event  which  you are  participating in or attending  on  March 29, 2025 may  be  photographed,   taped, filmed, recorded and reproduced.  Any such photographs, tapes, films, recordings or other reproductions of the Event,  and any elements thereof,  are  referred to herein  as the “Materials.”  

You acknowledge and agree that the Materials may contain scenes and/or images in which you appear recognizably or am otherwise identifiable (the “Scenes”). As an inducement to and in consideration of allowing you admittance to the Event, and for other good and valuable consideration, the receipt and adequacy of which you hereby acknowledge, you hereby grant to the Host and its licensees and designees, and each of their respective owners, employees, agents, parents, subsidiaries, and related companies, throughout the universe in perpetuity, the right to photograph, tape, film, record  (audio and/or video) and otherwise reproduce and use your name, voice, photograph, likeness, appearance and activities in and as part of the Materials, and to exhibit, distribute, advertise, exploit, transmit or reproduce the Materials by any means and in any  and  all  media,  in connection with the Event or otherwise, in any manner and in any media (including, without limitation,  on and in connection with the advertising and promotion of any products and services Host may designate), throughout the universe in perpetuity, without restriction of any kind and without payment, compensation, or any other liability or obligation  whatsoever  to  you.  

You hereby expressly acknowledge and agree that all right, title and interest in the Materials, including all copyrights therein and thereto for the life of copyright (including all extensions and renewals thereof), shall be exclusively owned, throughout the universe and in perpetuity, by Host, and you irrevocably and perpetually assign to Host all right, title and interest of any kind or nature (including any and all copyrights), throughout the universe, in and Materials. You agree that the Host may edit, alter, dub and/or otherwise change the Materials in any manner and for any purpose. You hereby waive any right to inspect or approve the Materials, and any products or materials which embody the Materials. YOu agree that in no event shall you be entitled to terminate this release or to seek to enjoin the production, distribution, exhibition and/or other exploitation of the Scenes and/or the Materials, or the advertising thereof.

Host may assign this release, or any part hereof, to any third party and this release shall inure to the benefit and shall be binding upon TBLF’s and my respective successors, licensees and assigns. 

Indemnification

You agree to release Host and its Associates from, and covenant not to sue Host or its Associates for, any claim or cause of action, whether now known or unknown, for libel, slander, invasion of the rights of privacy, publicity or personality, or any other claim or cause of action based upon, or relating to, the Event and/or the exercise of any of the rights granted hereunder. Without limiting the foregoing, (a) you assume full responsibility for yourself and any minors you bring with you to the Event for any risk of bodily injury, death or property damage due to negligence of Host, third parties or otherwise, at or in connection with the Event, (b) You unconditionally release Host and its Associates from, and covenant not to sue Host nor its Associates for, any claim or cause of action for bodily injury, death, property damage or the like, based upon, or relating to, the Event. Any failure by the Host to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

Severability and Governing Law

If any provision of these Terms held to be invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect. These Terms shall be governed by and construed in accordance with the laws of Delaware, without regard to conflict-of-law principles. The parties agree to submit to the exclusive jurisdiction of the courts located in Delaware, for any dispute arising out of or relating to this Agreement.
